1857日,美国FNA集团有限公司(以下简称“FNA”)以江苏龙腾鹏达机电有限公司(以下简称“龙腾鹏达”)违反保密协议、违反许可证合同、违达州《欺骗贸易惯例法》、违反《美国保守商业秘密法》以及侵犯其在美国与泵产品相关的两件专利(USD699762号专利、USD70021pan>号专利)为由,向美国内华达州地区法院提起违约诉讼。原告FNA指出,被告龙腾鹏达是其产品制造商,双方于12327日达成两项协议:,不披露、不竞争和不干涉协议(以下简称“NDA协议”)。该协议规定龙腾鹏达具有保守FNA商业秘密的义务,未经FNA书面许可,不得使用其商业秘密,且不得未经许可以直接或间接方式向任何人披露或允许披露其商业秘密。,技术和诀窍许可协议(以下简称“许可协议”)。据此协议,FNA向龙腾鹏达颁发了非排他、不可转让、不可公开和特许权使用费许可证。协议中双方约定,该协议于双方业务关系结束时终止,协议终止后龙腾鹏达不得以任何方式向任何第三方出售、转让、许可、处置或其他方式提供FNA技术秘密的或部分内容,并应立即停止生产许可产品,停止使用或披露FNA技术秘密,且应立即将所有有形形式的技术信息及其副本归还FNA。原告和被告于16年结束业务合作关系。

关于违反保密协议,原告FNA指出被告龙腾鹏达在1858~10日于内华达州拉斯维加斯举办的“五金制品及花园展览会”第101pan>号展位上展示了依据FNA技术诀窍生产的高压垫圈及泵产品。此外,被告龙腾鹏达在双方业务关系终止之后仍利用FNA的机密信息、诀窍和商业秘密制造、提供销售和销售与FNA直接向第三方销售的产品几乎相同的产品。
