章 合伙制的关键概念

合伙人分为有限合伙人和普通合伙人两种。
作为企业内部管理的一种合伙机制,就不必像合伙企业那么麻烦了,大家通过一个制度来约定游戏规则就可以了,想怎么做就怎么做,只要大家签名、画押、盖章、按手印表示认可就行了。
正是因为这种合伙机制操作简单却又行之有效,对合伙人起到激励作用,所以在企业管理中应用广泛。
如果把合伙机制延伸到组合外部资源,比如供应商、经销商、消费者等,一般就需要去注册。股份公司、有限公司、合伙企业,从某种意义上说也是一种合伙机制。


节 合伙人合伙人有两种含义:一种是法律含义,另一种是管理含义。合伙人的法律含义就是指合伙企业的合伙人,通常是指以其资产进行合伙投资,参与合伙经营,依协议享受权利,承担义务,并对企业债务承担无限(或有限)责任的自然人或法人。合伙人应具有民事权利能力和行为能力。
合伙人的管理含义,即从管理的角度讲,合伙人有两种模式:一种是指合伙人的管理机制;另一种是合伙机制与平台经营模式相结合,形成业务模式创新。
关于合伙人,主要从四个方面的内容了解,如表1-1所示。
