作者自20世纪80年代末开始研究民法解释学。“民法解释学”，亦称“法学方法论”。
民法解释学一语，在历史上与民法学是同义语。关于民法解释适用的方法，只是其内容之一部分。民法学的主要内容是学者对国家制定的民事法律法规进行整理，并依一定逻辑顺序所构成的概念、原则、制度和理论的体系。这部分内容，称为法源论。第二部分内容，是学者运用法律解释方法针对既有案例或假设的案例所提出的具体解释意见，称为解释论。第三部分内容，是关于法律解释适用的方法和规则，称为方法论。
自罗马法以来的很长时期，罕见专门研究或讲授方法论的著作。但20世纪中期以来，法律解释适用的方法日益受到重视，以致传统民法学的这部分内容与其他内容分离，而成为独立的学问。在德国及我国台湾地区，这部分内容被称为法学方法论。但在日本，同样的内容仍被置于民法解释学名下进行讨论，仍称为民法解释学或民法解释方法论。
民法解释学是微观的学问，是关于法律解释适用的方法和规则的理论，属于一种以方法为研究对象的实用学科。“二战”结束以来，学界出版了一些重要的著作，如德国拉伦茨的《法学方法论》。当然在德国研究法学方法论的，还有别的学者与著作。在日本研究法律解释适用的方法的学科领域，也有很多著作出版，如渡边洋三的《法社会学与法解释学》、石田穰的《法解释学的方法》、松坂佐一的《民法解释的基本问题》等。在我国台湾地区，重要的著作有杨仁寿的《法学方法论》、王泽鉴的《民法思维》、黄茂荣的《法学方法与现代民法》。
需说明的是，民法解释学的这一套方法和理论，并不仅仅对民事审判庭的法官有用，对其他审判庭（如行政审判庭和刑事审判庭）的法官也有用。只是其中的若干方法，如类推适用方法和利益衡量方法，在刑事裁判、行政裁判中难以适用罢了。
本书是作者于中南财经政法大学（20世纪90年代）举办的地方法官培训班的讲课录音整理稿基础上修改而成的，由法律出版社出版。2003年初版，2012年再版，2017年三版。现应出版社编辑王珊同志的建议进行了修订（第4版）。第4版除对原有内容校订外，在讲增加了“关于诉”、“事实认定的方法”及“法律适用”三部分内容，并删去第3版附录3--“买卖合同特别解释规则之创设”，代之以新的附录3--“法庭的审查权”。特予说明。
